Position Summary;

Manages the corporate records of subsidiaries of Circle K Stores Inc. to ensure compliance with their By-laws, charters and state and federal laws. This position is responsible for formation and maintenance of legal entities, officers and registrations and manages corporate governance for subsidiary, affiliate and related corporate.  Also responsible for direct support to Senior Director – Legal US, supporting transactions during acquisitions and divests.

Position Responsibilities:

Entity Management:

  • Formation and registration of new entities working with legal and tax
  • Maintain and update organizational chart and history in hCue system, officers and directors manual and entities list
  • Create and maintain corporate minute books and files
  • Draft documents required to form, merge, qualify, dissolve or withdraw corporations, LLC’s or partnerships in any state 
  • Liaison with license and permits division to solve all qualification and registration issues
  • Prepare annual minutes; unanimous written consents; governing documents; banking resolutions; powers of attorney
  • Track and complete subsidiary annual report filings
  • Perform tasks related to complex, highly confidential corporate work
  • Develop and manage key corporate and transaction processes
  • Manage complex due diligence projects

Mergers, Acquisitions, Divestitures and Special Projects:

  • Provide support in closing various transactions, i.e. financings, debt and equity offerings, mergers and acquisitions and divestitures

Knowledge, Skills, and Abilities:

  • Must have extensive knowledge and experience involving legal research, drafting legal documents, and a variety of other law related tasks.
  • A strong and comprehensive legal vocabulary
  • Ability to read and interpret company policies, regulatory guidelines, and other work-related documentation.
  • Ability to abide by confidentiality requirements when working with sensitive information, results, and communications.
  • Skill in providing thorough, efficient, and effective customer service to individuals at all levels within the organization.
  • Ability to communicate effectively through written and verbal methods.
  • Ability to accomplish work within required timelines, including short, long, and emergency timeframes.
  • Ability to cross-train in other department duties to ensure efficient coverage department responsibilities.
  • Ability to work with others to accomplish challenging assignments.
  • Ability to multi-task and prioritize multiple assignments to ensure completion of tasks within stated time requirements
  • Basic skill using Microsoft Office programs (i.e., Word and Excel).

Education and Experience Requirements:

  • Bachelor’s degree in a related discipline
  • 10 years of corporate governance & legal entity experience
